REAL SAVVY MOMS^TM TIVO® SERVICE WITH KIDZONE
DRAWING

NOTE: IT IS A REQUIREMENT TO WATCH A SHORT 2 MINUTE VIDEO ABOUT TIVO SERVICE WITH KIDZONE IN ORDER TO ENTER THIS PROMOTION.

1. ELIGIBILITY: "REAL SAVVY MOMS^TM TiVo® SERVICE WITH KIDZONE DRAWING" (the "Promotion") is open to legal residents of the fifty ( 50) United States and the District of Columbia, 18 years of age or older, who are confirmed registered members of www.RealSavvyMoms.com (registration is free) (the "RSM Site"). Void in Puerto Rico and where prohibited by law. Employees, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and their respective household members (any person who has lived in the same house for at least three months out of the twelve months prior to the start of the Promotion), of Morphogenix, LLC or TiVo Inc., or their affiliates, subsidiaries, divisions, advertising and promotion agencies, are not eligible to enter. Promotion is subject to all federal, state and local laws. U.S. law governs this Promotion.

2. PROMOTION TIMING: The Promotion begins at 12:00:01 AM Eastern Time (ET) on NOVEMBER 15, 2006 and ends 11:59:59 PM PT on DECEMBER 15, 2006 (the "Promotion Period").

3. PROMOTION DESCRIPTION: The Promotion invites confirmed registered members of RealSavvyMoms.com to watch a video of 2 minutes about TiVo ® service with KidZone (the approximate retail value of which is $369.00) and write a short review with no minimum number of words. All reviews sent to RealSavvyMoms.com will be automatically entered into a random drawing to win a TiVo® Series2^TM DT DVR with 6-months service.

4. HOW TO ENTER: To enter the Promotion, eligible participants will go to http://www.realsavvymoms.com/resources/tivogiveaway.php and do all of the following during the Entry Period: (1) Complete the entry form by providing the information required. You must acknowledge that you have read and you agree to these Official Rules by checking the box that appears on the entry form; (2) Watch the short video about children and television and write a review of the video, including why TiVo KidZone would make the perfect holiday gift for your family. Limit one Entry per person/email.

By entering this Promotion, entrants agree to grant Morphogenix, LLC, Real Savvy Moms™ ("RSM" or "Sponsor"), and TiVo Inc. ("Prize Provider") and each of their agents, subsidiaries and affiliates an exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, database rights and any other rights entrant has in the Entry (and any part thereof), in any media now known or hereafter devised (including without limitation, the Internet), without additional compensation. Further, entrant grants Sponsor and Prize Provider the additional license to modify, adapt, translate, create derivative works from, and distribute such materials or incorporate such materials into any form, medium or technology, including the right, at their sole discretion, to distribute such materials to be published by third-parties.

The reviews and photos that are provided to Sponsor in connection with the Promotion shall become the property of the Sponsor once submitted to Sponsor, and will not be acknowledged or returned. Entry must be in keeping with the Sponsor and Prize Provider's image, and may not be offensive, nor can it defame, or invade upon the publicity rights or privacy of any person or otherwise infringe upon any person or entity's personal or proprietary rights, as determined by the judges in their sole discretion. Incomplete entries or entries not complying with these Official Rules are subject to disqualification. Sponsor and Prize Provider are not responsible for late, lost, incomplete, illegible, damaged, or misdirected entries. Sponsors' decisions are final on all matters relating to this Promotion. Use of the RSM Site and Sponsors' use of information submitted by entrant in connection with this Promotion will be subject to the terms and conditions stated in these Official Rules as well as to the RSM User Agreement and Privacy Policy available on the RSM Site.

5. WINNING: A random drawing will be held by Morphogenix, LLC., Real Savvy Moms on Monday, December 18, 2006. Decision of judges is final and binding on all matters relating to this Drawing. Odds of winning are based upon the number of eligible entries received.

6. FINALIST NOTIFICATION: Drawing winner will be notified on or about December 18th, 2006 by email. Winner will be required to sign an affidavit of eligibility and liability release, and where legal, publicity release, and return same, properly executed, within seven (7) days of issuance. Failure to return documents as specified, or if any notification or any prize is returned as undeliverable, will result in disqualification and a runner-up may be drawn. If prize is won by an eligible entrant who is a minor in his/her state of residence, prize will be awarded to minor's parent or legal guardian who must sign and return all required documentation. Sponsor and Prize Provider reserve all rights, including the right to edit, publish, use, adapt, modify, or dispose of any entries, proper names, likenesses, photographs and writings and Entry for advertising and promotional purposes in all media now known and hereinafter developed (including and without limitation, the Internet) without territorial or time limitations and without additional compensation, except where prohibited by law. If an entrant changes his/her telephone number, email address and/or street address after he/she enters the Promotion, it is his/her sole responsibility to notify the Sponsor by notice to RSM's address (listed below) to be received by the end of the Entry Period.

Winning is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in the Official Rules. Grand Prize winner will be notified on or about December 18th, 2006.

7. THE PRIZE: On or about December 20, 2006, Sponsor will award the one (1) winner a TiVo® Series2TM DVR with 6-month service (approximate retail value is $369.69. Taxes on prizes are the sole responsibility of the winner. Prize is not transferable. No cash redemptions. No substitutions except by Sponsors for a prize of equal or greater value if due to prize unavailability. Winners shall receive no further compensation or credit for use of the entry submission other than that disclosed in these Official Rules. Sponsor shall have no obligation (express or implied) to further exploit, develop, produce, or distribute any entry submission.

8. CONDITIONS OF PARTICIPATION: By entering, entrants agree to be bound by these Official Rules including all eligibility requirements. By entering, entrants give realsavvymoms.com the permission to share contact information with the sponsor of this promotion. By accepting a prize, winner consents to the use of his/her name, image, likeness, photograph, voice and biographical material, and written submission for advertising, publicity and promotional purposes by Sponsor, or a party designated by the Sponsor, including but not limited to, any online announcements, or for sharing this information with the Press for viewing, whether TV, print, Internet or other medium,, without time or territorial restriction and additional compensation, except where prohibited by law. Entrants release and hold harmless Sponsor, Prize Provider, and all their affiliates, subsidiaries, divisions, advertising and promotion agencies and their employees, officers, directors and shareholders ("Releasees") from any claims, actions, injury, loss or damage of any kind, including but not limited to, personal injury or death, resulting from participating in this Promotion or from the acceptance, possession, or use or misuse of any prize awarded or participation in any prize-related activity. Entrants agree to abide by the terms of these Official Rules and the decisions of the judges, and waive any right to claim ambiguity in these Official Rules. Entrants agree that any and all disputes shall be governed by the laws of the State of California. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Santa Clara County, California.

9. LIMITATION OF LIABILITY: Releasees are not responsible for lost, late, illegible, damaged or stolen entries or submissions, or problems of any kind, whether mechanical, human or electronic. Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, inability to access a website or submit an online entry form or photograph, fraud, incomplete, garbled, or delayed computer transmissions or inaccurate transcription of entry information, whether caused by the Releasees, users or by any of the equipment or programming associated with or utilized in this promotion or by any technical or human error which may occur in the processing of submissions which may damage a user's system or limit a participant's ability to participate in the promotion. Entry materials that have been tampered with or altered are void. Releasees reserve the right, in their sole discretion, to cancel or suspend part or all of this Drawing at any time without notice, if in the judges' opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Drawing, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or integrity and proper play of the Promotion. In such event, Releasees may void any entries they suspect are at issue and award prizes from among all eligible entries received up to the date of cancellation.

CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR ANY ONLINE SERVICE RELATED TO THIS PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE RELEASEES RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

Releasee's failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Releasees reserve the right to disqualify entrants who violate the rules or interfere with this Promotion in any manner. If an entrant is disqualified, Releasees reserve the right to terminate that entrant's eligibility to participate in the Promotion. Any attempts by an individual to access any website associated with this competition via a bot, script or other brute force attack or any other unauthorized means will result in the IP address becoming ineligible. Use of automated entry devices or programs is prohibited.

10. WINNER: For the name of the Grand Prize winner, available after December 18, 2006, mail a self-addressed, stamped envelope by January 2, 2007, to: Real Savvy Mom's TiVo® Service With KidZone Promotion, c/o Morphogenix, LLC (MGX Media) 545 Eighth Ave. Suite 23-SW, New York, NY 10018.

TiVo Inc. is not a sponsor of the Promotion. Participants and winners agree to look solely to the Sponsor with respect to the Promotion, the redemption of any prize or any liabilities in connection therewith.
